INFRASTRUCTURE DEVELOPMENT PROJECT LAW

We act for lenders, developers, equity investors, BEE investors, as well as EPC and O&M participants.

We have a special focus on energy projects including gas projects, photovoltaic solar, concentrated solar power, hydro energy, wind energy, biofuel energy and coal energy.

Our people have worked on Private Public Partnership (PPP) projects at a national, provincial and municipal level. These have included roads, hospitals, water and sanitation, electricity, waste-to-energy, and accommodation.

We have also worked with the private sector in structuring deals for infrastructure for rail and road transport, development of transport logistics hubs, development of platinum, gold, coal and ferrochrome mines, development of commercial property including retail property, factories and residential property.

Mergers and acquisitions

We assist our clients to structure and negotiate innovative, large-scale transactions using new approaches to deal structuring, including collar backed transactions.

We act for private and public companies, banks, funds investment houses and other financiers and our people have been involved in large, intermediate and small mergers across different sectors including mining, industrial, retail, and financial services.

Our services include facilitating the sale of shares, sale of assets, share repurchases, internal restructurings and authoring or evaluating due diligence reports.

We understand the value of a properly executed due diligence exercise and a concise and accurate due diligence report as a pivotal step towards any sound investment decision.

Recent transactions include restructuring and listing a multinational retail company and advising lenders on a block trade of listed shares valued at ZAR5billion, and use of disposal proceeds to unwind the seller’s debt facilities.

General corporate and commercial law

Our experience in this area includes rights issues, joint ventures, joint development agreements, consortium agreements, corporate structuring, share schemes, corporate guarantees, relationship agreements, legal opinions.

Recent transactions include negotiating the rights of a significant shareholder in a multimillion Rand rights offer by a JSE listed entity.

Property law

We focus on township development, rezoning, subdivision, servitudes and real rights registrations, opening sectional title registers and establishing home owner’s association, property audits and evaluation, bond registration, property transfer.

Recent transactions include advising on large scale residential housing development projects as well as registration of large notarial and mortgage bonds as part of financing security package for lending transactions.

Mining and environmental law
